General Terms and Conditions of Boombino

Welcome to Boombino, a brand operated by Vanilla Odyssey DE. Vanilla Odyssey DE utilizes the software BizBlocks, developed and licensed by Vanilla Odyssey LDA, Portugal. BizBlocks is a multi-tenant, white-label platform software designed to support diverse business models, allowing brands to efficiently manage and customize their operational workflows and services.

Boombino connects vendors offering party-related services and products with party planners seeking to organize children’s birthday celebrations and related events. Whether you’re planning entertainment, rentals, venues, or cakes, Boombino ensures a seamless booking experience.

By accessing or using Boombino, you agree to comply with these Terms and Conditions. If you do not agree with these Terms, please refrain from using the platform.

• Platform: Refers to Boombino, operated by Vanilla Odyssey DE, including its website, services, and applications.
• User: Any individual or entity accessing or using the Platform.
• Party Planner: A User who books services through the Platform.
• Vendor: A professional or business offering services or rentals via the Platform.
• Booking: The process of scheduling services through the Platform.
• Payment: The monetary compensation transferred from the Party Planner to the Vendor for services rendered, processed securely through the Platform’s designated Payment Provider.
• Payment Provider: A licensed third-party entity responsible for processing all financial transactions.
• Service Contract: The agreement established between the Party Planner and the Vendor detailing the terms of the booked services.
• Services: Party-related services or rentals offered by Vendors and booked by Party Planners via the Platform.

These Terms apply to all Users of Boombino. By registering, booking, or providing services through the Platform, Users accept these Terms. Deviating or supplementary terms are valid only with written approval from Vanilla Odyssey DE.

• 4.1 Registration and Platform Access — Vendors must have the legal right to operate commercially within Germany and provide: name, contact details, tax ID, identification (if requested), VAT status, bank account, service offerings, availability, and areas served. Boombino may request verification.
• 4.2 Vendor Obligations — Maintain accurate profiles, deliver services as agreed, comply with laws, and inform Boombino of delays or changes.
• 4.3 Platform Usage — Manage credentials securely; do not bypass the Platform to engage Party Planners without Boombino’s consent.
• 4.4 Reviews and Ratings — Party Planners may leave public feedback; Vendors may respond professionally.
• 4.5 Fees and Payments — Boombino may charge a commission on bookings; payments are handled through designated providers.
• 4.6 Termination — Vendors may terminate their account anytime; Boombino may suspend or terminate access for violations.
• 4.7 Liability — Vendors are liable for the services they provide and must indemnify Boombino against claims; insurance is recommended.
• 4.8 Termination Notice — Either party may terminate the agreement without notice, in writing or electronically.

• 5.1 Subject — Boombino facilitates service contracts between Party Planners and Vendors.
• 5.2 Service Types — Party Planners may specify preferred Vendors; the first Vendor to accept the booking establishes the service contract.
• 5.3 Contract Establishment — Service contracts are between Party Planners and Vendors; Boombino’s role is limited to matchmaking.
• 5.4 Booking Process — Boombino transmits booking requests based on service criteria; the contract is established upon the Vendor’s acceptance.
• 5.5 Acceptance — Boombino confirms when a Vendor accepts the booking request.
• 5.6 Boombino’s Role — Boombino maintains accounts, matches bookings, and sends confirmations; it is not a party to service contracts.
• 5.7 Party Planner Obligations — Provide accurate information and ensure service accessibility.
• 5.8 Changes and Cancellations — Requests follow Boombino’s platform policies.
• 5.9 Payment — Party Planners pay the amount displayed during booking, processed securely via the Platform.
• 5.10 Liability — Boombino is not liable for Vendor performance; disputes must be resolved between the parties.
• 5.11 Termination — Both parties may terminate the mediation agreement at any time via written or electronic notice.

• 6.1 Party Planner-Initiated — >48h before service: No fee; 48–24h: 30% fee; 24–12h: 50% fee; <12h: 100% fee. Party Planners may prove that the Vendor incurred lower losses.
• 6.2 Exceptions — Bookings made <48h before the service are exempt from fees.
• 6.3 Vendor-Initiated — Vendors must notify Boombino of cancellations promptly; repeated cancellations may result in account suspension.
• 6.4 No-Show — No-shows by Vendors may lead to penalties including suspension.
• 6.5 Cancellation Process — Use the Platform or customer support for cancellations.
• 6.6 Refunds — Refunds are processed per Section 6.1 and returned via the original payment method.
• 6.7 Policy Changes — Boombino may update these policies; continued use implies consent.

• 7.1 Instructions — Consumers generally have 14 days to withdraw from this contract without giving any reason. To exercise the right of withdrawal, you must notify us (Vanilla Odyssey DE UG, Baumpieperweg 8, 21149 Hamburg, Email: info@boombino.com) of your decision by means of a clear statement (e.g., email).
• 7.2 Exceptions — The right of withdrawal does not apply to contracts for the provision of services related to leisure activities, where the contract provides for a specific date or period of performance (e.g., bookings of party services for a fixed date).
• 7.3 Early Execution of Services — If you request that the performance of services begins before the expiry of the withdrawal period, you must expressly consent to this and acknowledge that you will lose your right of withdrawal once the services have been fully performed.
• 7.4 Consequences — If you withdraw from this contract (where permitted), all payments will be refunded within 14 days. If the services have already partially commenced at your request, you may be required to pay a reasonable amount corresponding to the proportion of the services already performed.

• 8.1 Services — Boombino is not liable for service execution or damages; responsibility lies with Party Planners and Vendors.
• 8.2 Platform — Boombino is liable only in cases of gross negligence, intentional misconduct, personal injury, or breach of core contractual duties.
• 8.3 Representatives — The above also applies to legal representatives and agents.

• 9.1 Platform Use — The usage agreement begins upon registration and remains valid indefinitely unless terminated by either party.
• 9.2 Mediation Agreement — Each booking constitutes a new mediation agreement, which terminates once the booking is concluded.
• 9.3 Service Contract — The contract between Party Planner and Vendor is subject to Section 6 conditions and terminable by either party.

• 10.1 Data Use — Boombino processes user data per its Privacy Policy, available on the Platform.
• 10.2 User Access — Users may view and manage their data through the Platform.

• 11.1 Governing Law — German law applies, excluding the CISG.
• 11.2 Jurisdiction — If the User is a merchant or similar entity, jurisdiction is Hamburg, Germany.
• 11.3 Severability — If any clause is invalid, it will be replaced with a valid clause closest in intent; remaining provisions remain unaffected.
